1. Agreement to Terms

By accessing or using MagicPlate.ai ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. One-Time Purchase Model

• What's Included: Lifetime access to AI photo enhancements (up to plan limits), digital menu creation, and all features listed in your purchased plan
• No Refunds After Delivery: Once you receive access to the Service, all sales are final. Refunds are only available within 7 days of purchase if you have not used the Service (see Refund Policy)
• Future Updates: We may release updates or new features. Access to these updates is at our discretion and not guaranteed
• Hosting/Support: Basic hosting and support are included. Premium support or additional services may incur separate fees

3. Account Registration

To use certain features, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Upload content that is offensive, defamatory, or violates others' rights
• Attempt to reverse engineer, decompile, or extract source code
• Use automated systems to access the Service without permission
• Resell or redistribute AI-generated outputs without authorization
• Interfere with or disrupt the Service or servers
• Impersonate others or provide false information

5. AI Photo Enhancement

Our AI photo enhancement service:

• Ethical Enhancement: We enhance existing photos ethically. We do not generate new food items or misrepresent your actual offerings
• Ownership: You retain ownership of your original photos. Enhanced photos are provided for your use
• Usage Rights: Enhanced photos are for your commercial use. You may not resell the AI enhancement service itself
• Limitations: AI enhancement results may vary. We do not guarantee specific outcomes

6. Intellectual Property

• Our Content: All content, features, and functionality of the Service are owned by MagicPlate.ai and protected by copyright, trademark, and other laws
• Your Content: You retain ownership of content you upload. By uploading, you grant us a license to use, process, and store your content to provide the Service
• AI Outputs: Enhanced photos and generated content are provided for your use. You may not claim ownership of our AI technology or algorithms

7. Payment Terms

• One-Time Payment: Plans are purchased with a single, one-time payment
• Payment Processing: Payments are processed securely through third-party providers (Stripe/PayPal)
• Price Changes: We reserve the right to change prices at any time. Price changes do not affect existing purchases
• Taxes: You are responsible for any applicable taxes

8. Service Availability

We strive to maintain Service availability but do not guarantee:

• Uninterrupted or error-free service
• That the Service will meet your specific requirements
• That defects will be corrected

We may suspend or terminate the Service for maintenance, updates, or other reasons with reasonable notice when possible.

9. Limitation of Liability

To the maximum extent permitted by law:

• MagicPlate.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid for the Service
• We are not responsible for third-party services or content

10. Indemnification

You agree to indemnify and hold harmless MagicPlate.ai from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment (if applicable)
• At our sole discretion, with or without cause

Upon termination, your right to use the Service ceases immediately. We are not obligated to provide refunds for terminated accounts.

12. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through:

• Informal Resolution: First, contact us to attempt informal resolution
• Binding Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules
• Governing Law: These Terms are governed by the laws of the jurisdiction in which MagicPlate.ai operates

We reserve the right to modify these Terms at any time. We will notify users of material changes by:

• Updating the "Last Updated" date

Continued use of the Service after changes constitutes acceptance of the new Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
